The NJSBA Board of Directors held a brief, remote meeting on Friday, March 20, 2020 at 4 p.m. in compliance with state and federal guidelines issued about the COVID-19 pandemic, limiting gatherings to no more than 10 individuals. The meeting was held for the exclusive purpose of changing the date of the upcoming Delegate Assembly on May 16 to Saturday, June 27, 2020. Board of Directors members participated in the meeting via remote WebEx or called into the meeting via teleconference.
Background: The NJSBA Delegate Assembly was scheduled to take place on Saturday, May 16, 2020. It is highly probable that the meeting, which draws more than 150 participants, will not take place on that date. Therefore, to avoid a last-minute cancellation of the Delegate Assembly and to ensure that the staff has sufficient time to finalize facility arrangements, the Executive Director proposed that the meeting be postponed to Saturday, June 27, 2020. The usual venue, The Conference Center at Mercer, is currently available on that date.
NJSBA Bylaws (Article IV, Section 4) require the Association to conduct two Delegate Assemblies each year, with the spring meeting taking place in May or June. That same provision states that, “in the event of an emergency which requires cancellation of an already scheduled meeting, the Board of Directors shall fix the time for said meeting…”
Action: The NJSBA Board of Directors approved the cancellation of the May 16, 2020 Delegate Assembly and fixed the date of the meeting as June 27, 2020. The motion was approved unanimously by all 17 voting members participating.
Upon approval of the date change, the general counsel will make any necessary adjustments to timelines related the Delegate Assembly, including notifications and distribution of the Delegates’ Handbook.
